4. Intellectual Property
All intellectual property rights related to ZipZap Agency's services, methodologies, software, and content remain the property of Stefania Sole LLC. You are granted a limited, non-exclusive, non-transferable license to use our services solely for your internal business purposes as agreed upon.

5. Confidentiality
Both parties agree to maintain the confidentiality of all non-public information shared during the course of their engagement. This includes, but is not limited to, business strategies, financial data, customer lists, and proprietary technologies. The obligation of confidentiality shall survive the termination of services.

6. Disclaimer of Warranties
ZipZap Agency provides its services on an "as is" and "as available" basis. We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements. We disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability
To the maximum extent permitted by law, Stefania Sole LLC shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, or goodwill, arising out of or in connection with your use of our services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to these Terms or our services will not exceed the amount paid by you to ZipZap Agency for the services giving rise to the liability in the six (6) months preceding the event.

8. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall be resolved exclusively in the state or federal courts located in New York, New York.

Upon termination, relevant provisions of these Terms, including but not limited to, privacy, confidentiality, intellectual property, disclaimers, and limitation of liability, shall survive.

10. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website or by sending you an email. Your continued use of our services after such modifications constitutes your acceptance of the revised Terms.
